Of the two thousand Hostess Brands documents filed in the last year with the U.S. Bankruptcy Court, it's one of the most recent ones ? a handwritten, five-page letter on loose-leaf notebook paper ? that stands out the most.

In document #1890, Don Sheridan of Wellesley, Mass., writes to say the Judge, the CEO, and the company's advisers should allow him to prepare a proposal for the Twinkie maker and its 30 brands.

Financial advisers to Hostess have set a deadline of Monday, Dec. 10, to submit initial interest in acquiring a liquidating Hostess or any number of its brands. Compared to the likes of the conglomerate snackmakers that will table billion-dollar bids, Sheridan would hardly seem a viable competitor. He is 59 years old, battling cerebral palsy and living on welfare. His academic qualifications are slim: He flunked out of accounting school at a younger age and, in conversations over the phone, describes himself as being "unemployed practically [his] whole life."

Despite the odds, Sheridan's is a very real dream.

And he's not alone. A mainstay of the collective American memory, the idea that Hostess ? Twinkies, Wonder Bread and all ? could go stale has struck a chord with consumers and collectors. It's drawn a singularly unique set of strangers to the world of wonky financial engineering, court hearings, and fire sales normally inhabited only by Wall Street pocket squares and white-shoe law firms.

CNBC: At Hostess, Everything's for Sale but the Kitchen Sink?

Enter the Hurst brothers. Twins Austin and Zach, 26, run a small private equity fund in Sarasota, Fla., and have a track record of small investments in early-stage tech companies. Their fund is small and run remotely, their experience working with large companies is nonexistent ? but they're gunning to take over the national baker, with big expectations.

"I honestly believe we can double the profitability," said Austin Hurst, the firm's managing general partner, reached by phone before the deadline. Hurst said the brothers, still working on a bid to submit to Hostess' bankers, were feverishly searching for wealthier ? and more knowledgeable ? investors to provide financial backing.

Cobbling together investors has been a familiar approach for would-be saviors of these iconic brands. In 2011, everyday consumers pledged more than $200 million to save hipster beer-maker Pabst Blue Ribbon Co. through BuyABeerCompany.Com, a crowdfunding website.

In a similar vein, Spencer Clark, CEO of eRaise, a nascent crowdfunding platform still in beta testing, launched the website DoughForHostess to solicit financial pledges from small-time investors who wanted to "save" the company. In roughly two weeks' time, the site received "thousands of responses from around the world," according to Clark ? totaling some $2 million in unofficial financial commitments. While Clark does not have the outright intention of bidding for the company (although there is a scenario, albeit a phenomenally slim one, where he'd take a shot at it), he does see a future where these kinds of main-street financed deals are very possible.

The Pabst effort, while valiant, got quashed. In June 2011, the Securities and Exchange Commission shut down two rogue investors who were soliciting the public for the funds, but did not register the securities. The site was shut down following a cease-and-desist order, and the brand was scooped up by family-owned private equity shop C. Dean Metropoulos & Co. for $250 million.

Coincidentally, the Metropoulos family could save Hostess, too. The owner and principal Daren Metropoulos (also now chairman and CEO of Pabst) told CNBC the effort was "at the beginning stage of our due diligence."

In all likelihood, buying Hostess Brands would cost a multiple of Pabst. A representative for financial adviser Perella Weinberg ? tasked with selling the piecemeal brands ? said in a hearing that the sales could fetch roughly half of the brands' combined $2.4 billion in revenues.

The other, more established, bidders are likely to include large corporations backed by large commitments of capital by large investment banks. (Perella said at least six banks were retained.)

National competitor Flowers Foods recently expanded its credit facility in order to tap its cash reserves, signaling to analysts it plans to bid. Behind the scenes, executives from supermarkets and regional bakeries have been touring Hostess facilities and talking with management.

That's not stopping those like Sheridan and Hurst from racing to the finish line.

"Our exact bid has yet to be determined ? but it will be sizeable and it will be very competitive," Hurst said. "We're in it to win it."

Venezuela's Chavez to have another cancer operation

CARACAS (Reuters) - Venezuelan President Hugo Chavez said on Saturday he would undergo another cancer operation in the coming days after doctors in Cuba found a third recurrence of malignant cells in his pelvic area.

The news is a big blow for his supporters in South America's biggest oil exporter, who elected him in October to a new six-year term in power. Chavez has twice said he was cured, and then had to return to Cuba for more surgery.

In a televised broadcast flanked by ministers at the Miraflores presidential palace, Chavez said that if anything happened to him and a new vote had to be held, his supporters should vote for Vice President Nicolas Maduro - the first time the socialist leader has named a successor.

Chavez returned to Venezuela on Friday from having medical treatment in Cuba, ending a three-week absence from public view.

"Unfortunately, during these exhaustive exams they found some malignant cells in the same area ... . It is absolutely necessary, absolutely essential, that I have to undergo a new surgical intervention," the 58-year-old said, looking resolute.

"With God's will, like on the previous occasions, we will come out of this victorious."

The president has already had three cancer operations in Cuba since the middle of last year. News of more surgery will likely raise new doubts about his future and the fate of his self-styled "revolution" in the OPEC nation.

Chavez, who has dominated Venezuelan politics since taking power 14 years ago, said he would return to Havana on Sunday.

Under Venezuela's constitution, an election would have to be held within 30 days if Chavez were to leave office within the first four years of his next term, due to begin on January 10.

The president has been receiving treatment at the Cimeq hospital in Havana as a guest of his friend and political mentor, former Cuban leader Fidel Castro.

CNOOC pledge small step for China transparency, skeptics abound

SINGAPORE/HONG KONG (Reuters) - CNOOC's promise of transparency, pledged to win approval from Canada for its $15.1 billion purchase of Nexen Inc, looks like a positive step on the face of it but is unlikely to represent a sea change in Chinese business practices.

To be sure, the details of commitment are not clear. The state-controlled energy firm has promised the Canadian government an annual compliance report on all its commitments that are part of its takeover of Nexen Inc, China's biggest ever takeover. These include listing shares on Toronto stock exchange, which comes with certain disclosure requirements.

But when capital is king, cash-rich Chinese state-owned enterprises have the balance of power in any acquisition talks, leaving doubts about the real potency of transparency pledges.

"On the transparency side, I believe there will be efforts from foreign governments to get more information, but it's still a question of how far China is willing to give," said Robert Lewis, a partner at Zhong Lun law firm in Beijing.

"Twenty years ago it was all about foreign capital coming into China and that foreign capital having the leverage in negotiations. Now it's the other way round, so China will not have to give as much on the transparency side as some might suspect".

The international community has demanded greater transparency from China on a number of fronts for years, wary of its intentions as the country grew to become the second-biggest economy in the world and symbolic of a shift in global power to emerging nations.

On the latest front, U.S. securities regulators are in an intense stand-off with their Chinese counterparts over access to Chinese audit documents. Separately, a U.S. congressional advisory panel described Chinese investment in the United States as a "potential Trojan horse."

China's state-secrets laws, massive bureaucracy and cronyism make it difficult to get key, verifiable information from Chinese companies.

FINANCIAL CLOUT

But the same Chinese companies yield considerable global clout. Chinese companies launched $51.3 billion of overseas acquisitions this year, second only to Japan, Thomson Reuters data shows, making the country one of the world's most active buyers of corporate stakes and businesses abroad.

Much of that acquisition power is led by China's government-run companies, and its energy sector, which has both the cash and the need to build up oil-and-gas supplies to fuel the $5.8 trillion economy.

The government owns all large financial institutions, which lends according to state priorities and directives and which favour large state enterprises -- one reason why the Washington think tank, the Heritage Foundation, ranks China 138th out of 179 in global economic freedom.

Even Chinese companies that aren't classed as state-owned enterprises, such as telecom giants Huawei and ZTE, face accusations they could covertly gather information for Beijing.

In October, a U.S. congressional report urged American companies to stop doing business with the two companies saying the Chinese government could take advantage of their equipment for espionage purposes. Canada and Australia have also indicated they will ban Huawei from taking part in communication network projects due to cyber security concerns.

The Nexen deal, and a separate though less contentious $5.3 billion offer by Malaysia's Petronas for Canada's Progress Energy, provided capital infusions to two Canadian companies, not to mention payouts to shareholders at a time of economic uncertainty.

Such considerations may trump the fear of a state-owned bogeyman coming to town.

"No government in the world is going to say 'we don't want your money'," said Andrew Lumsden, a partner at Corrs Chambers Westgarth in Sydney. "There will be a bit of huffing and puffing but it's probably business as usual".

GROUND RULES

Last week, the U.S. Securities and Exchange Commission (SEC) charged the Chinese affiliates of five of the world's biggest audit firms with violating U.S. securities law.

The United States and China could still reach a settlement, but the action shows the U.S. securities watchdog and their Chinese counterparts could not find agreement on the exact topic under discussion with CNOOC-Nexen: transparency of information.

Canada though is following in the steps of other countries that have attracted money from state-backed Chinese companies, such as Australia and Norway, in putting place a working set of ground rules.

"There's become an almost standard set of behavioral undertakings that firms accept in Australia from these kind of companies and reading between the lines it looks like the Canadians are doing similar," said Lumsden at Corrs Chambers Westgarth.

"The companies put in place a series of undertakings such as ensuring they have local management and comply with local environmental laws", he said.

Rupert Li, a partner at King & Wood Mallesons in Hong Kong, said all Chinese companies should study Nexen's transparency clause, particularly those that plan to venture abroad.

"If you want to be part of the global business community, people should have more visibility into your management, your finance, and who actually drives your strategy," Li said, adding the extent of a board's independence was also important.

"The question is whether the Chinese companies can actually dispel the notion that they are just part of the mandate from the Chinese government as opposed to being a true profit seeking entity," he added.
